1. Introduction

These Terms of Service ("Terms") govern your use of the website quantum-electro.com ("Website") and the services provided by QuantumElectro (Private) Limited ("QuantumElectro AI", "we", "us", or "our"), a company registered in Pakistan with its principal office at First Floor, One Express Plaza, Adjacent Attock Petrol Pump, Gulberg Green Interchange, Islamabad Expressway, Islamabad, Pakistan.

By accessing our Website or engaging our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our Website or services.

2. Services

QuantumElectro AI provides artificial intelligence and machine learning engineering consulting services, including but not limited to:

  • Computer Vision system design, development, and deployment
  • Generative AI and Large Language Model (LLM) solutions
  • Edge AI optimization and deployment on embedded hardware
  • Robotics software engineering (ROS2, autonomous navigation)
  • AI model training, fine-tuning, and optimization
  • Full-stack AI application development and deployment

Specific deliverables, timelines, and pricing for each engagement are defined in individual project proposals or contracts ("Statements of Work") agreed upon between QuantumElectro AI and the client.

3. Intellectual Property

3.1 Client Work Product

Unless otherwise agreed in writing, all custom code, models, and deliverables created specifically for a client engagement ("Work Product") shall be assigned to the client upon full payment. This assignment is effective only after all invoices associated with the relevant Statement of Work have been paid in full.

3.2 Pre-Existing Materials

QuantumElectro AI retains ownership of all pre-existing tools, libraries, frameworks, methodologies, and know-how that existed prior to or were developed independently of any client engagement ("Pre-Existing Materials"). Where Pre-Existing Materials are incorporated into Work Product, the client receives a non-exclusive, perpetual, royalty-free license to use such materials as part of the delivered solution.

3.3 Website Content

All content on this Website — including text, images, graphics, case studies, and blog posts — is the property of QuantumElectro (Private) Limited and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without prior written permission.

4. Engagement Terms and Payment

All project engagements are governed by individual Statements of Work that specify scope, deliverables, timeline, and payment terms. General payment principles include:

  • Payment terms are defined in each Statement of Work (typically milestone-based or biweekly for hourly engagements)
  • Invoices are payable within 14 days of issuance unless otherwise agreed
  • Late payments may incur a service charge of 1.5% per month on the outstanding balance
  • We reserve the right to pause work on any engagement with overdue payments

5. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of an engagement. This includes, but is not limited to, business strategies, technical specifications, data, algorithms, and client information. Confidentiality obligations survive the termination of any engagement for a period of two (2) years.

6. Warranties and Disclaimers

6.1 Service Warranty

QuantumElectro AI warrants that all services will be performed in a professional and workmanlike manner, consistent with generally accepted industry standards. If any deliverable does not conform to the agreed specifications, we will re-perform the work at no additional cost, provided the client notifies us within 30 days of delivery.

6.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED HEREIN, OUR SERVICES AND WEBSITE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that AI/ML models will achieve specific performance metrics unless explicitly committed to in a Statement of Work. Machine learning outcomes depend on data quality, quantity, and other factors outside our sole control.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, QUANTUMELECTRO (PRIVATE) LIMITED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES.

Our total aggregate liability under any Statement of Work shall not exceed the total fees paid by the client for that specific engagement in the twelve (12) months preceding the claim.

8. Indemnification

You agree to indemnify and hold harmless QuantumElectro (Private) Limited, its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising from: (a) your use of our services in violation of these Terms; (b) your violation of any applicable law or regulation; or (c) any third-party claims related to your use of the Work Product.

9. Termination

Either party may terminate an engagement with 14 days written notice. Upon termination:

  • The client shall pay for all work completed up to the date of termination
  • QuantumElectro AI shall deliver all Work Product completed as of the termination date
  • Confidentiality obligations and intellectual property provisions survive termination

Either party may terminate immediately if the other party materially breaches these Terms and fails to cure such breach within 14 days of written notice.

10. Acceptable Use

When using our Website, you agree not to:

  • Use the Website for any unlawful purpose or in violation of any applicable laws
  • Attempt to gain unauthorized access to any part of the Website or its systems
  • Transmit viruses, malware, or other harmful code
  • Scrape, copy, or reproduce Website content without permission
  • Submit false or misleading information through our contact forms

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Islamic Republic of Pakistan. Any disputes arising out of or relating to these Terms shall first be addressed through good-faith negotiation between the parties.

If a dispute cannot be resolved through negotiation within 30 days, it shall be submitted to binding arbitration under the Pakistan Arbitration Act, 1940, with arbitration proceedings conducted in Islamabad, Pakistan. The language of arbitration shall be English.

For international clients, we are open to mutually agreeable alternative dispute resolution mechanisms as specified in individual Statements of Work.

12. Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations due to causes beyond its reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, government actions, power failures, or internet disruptions.

13. Modifications

We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of the Website after changes constitutes acceptance of the modified Terms. For existing engagements, changes to Terms do not apply retroactively unless mutually agreed.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
